We invite you to read these terms and conditions carefully before placing an order with us.
Definitions:
Seller: Ben Sutton (Timber) Ltd (t/a Sutton Timber)
Buyer: Client / Customer
Goods: Timber – (The subject of this order by Seller to the Buyer)
Quotes and orders
All quotations, offers for sale or acceptances of orders are subject to the following express terms and conditions and the following conditions shall apply:
Quotations are based on current prices and are held for 30 days from the date of the quotation after which time they may be subject to price increase due to justifiable increased costs at the time of dispatch.
A 50% deposit taken at point of sale will secure the quoted price plus VAT.
All prices quoted are exclusive of VAT and which is added to the exclusive prince at the current standard rate.
The Buyer agrees that
(a) Any description which is given or applied to the Goods is solely for the purposes of reference and does not make the sale one by description in that there will be no express or implied undertaking that the Goods correspond with or confirm to such reference.
(b) Where a sample of the Goods has been shown to the Buyer, the sole purpose of so doing is to enable the Buyer to judge the quality of the bulk and the sale shall not in consequence be a sale by sample.
Payment
Payment for Goods shall be made on placement of order or under such terms as the Seller may extend to the Buyer.

Cancellation of orders are accepted only by mutual agreement in writing.
Credit Accounts
We always consider offering a trade account to customers who require credit with whom we have been trading regularly for a period of 6 months or more. A buyer may ask for credit terms but this is at the discretion of the owner and Director Ben Sutton prior to any purchase. If payment is not received by the agreed date the Seller will charge interest to the Buyer on the overdue amount at 4% over the Bank of England base rate.
Delivery
We offer a delivery service to locations throughout the UK. Cost of delivery is in addition to the price of the timber and is payable prior to delivery.
We will always confirm a convenient delivery date in advance. Whilst every effort will be made by us to effect delivery in accordance with the pre-arranged date, no guarantee as to dates of the delivery is to be implied and it is hereby agreed that time is not of the essence.
Deliveries will only be made to a place where there is a hard surface near to the site. It is the buyers responsibility to ensure the unloading of goods with his own labour and without undue delay.
Please consider the following when arranging delivery:-
- Is there suitable access for the delivery vehicle avoiding narrow lanes, low bridges and overhanging tree branches?
- Do you have a safe and legal space for the vehicle to park while unloading?
- Will there be willing and able helpers where the goods are to be offloaded manually?
- Is there a forklift on site for deliveries of large orders?
It is the Buyers responsibility to check that all such matters are in place and in order to effect safe delivery.
Please check the packaging of goods to ensure no damage has occurred to the Goods in transit and inform us immediately so that we may inform the carriers.
Acceptance of the DELIVERY of Goods shall occur immediately on the entry of your signature on the delivery note.
In the absence of any claim within 7 days it shall be conclusive evidence that the Seller has fully discharged all it’s obligations under the contract and that delivery of goods has been accepted.
If there is any damage during delivery which is for our account we will endeavour to repair or replace as quickly as possible the items affected, but we shall not be liable for any losses or costs beyond that.
Transfer of liability and risk for goods shall occur once the goods are safely unloaded from the delivery vehicle and when that has occurred we shall accept no further liability in respect of any damage that may occur to the goods or the property of any third party once that has taken place.
If there is a delay in delivery or collection is so arranged after an order has been placed and the Buyer has asked the Seller to retain the Goods for any period such storage is at the Buyers risk although the Seller will endeavour to store the same safely
Defects
On receipt of the Goods please inspect carefully and inform us immediately of any defective timber in the first instance by telephone on 07721 536208 with follow up confirmation in writing.
The buyer is deemed to have accepted the Goods if they are retained for more than seven days without notifying us in writing that he has any complaint about the same.
Claims cannot be made if the goods have been changed in way from the form in which they were supplied. Further machining or processing of the timber would deem the timber to have been accepted.
Return or replacement of any defective goods will not be accepted until the seller or his representative has had an opportunity to examine them.
Property
Property of the Goods shall not pass to the Buyer until the Seller has received the full amount of the price and any other sums owed to the Seller by the Buyer. (including any delivery charges)
Payment/Ownership
Goods remain the property of the Seller until payment is made in full to the Seller who shall be entitled to all rights of access to the Buyer’s premises to enforce it’s rights hereunder including full rights to enter such premises to recover possession of the Goods which shall be kept separate thereon.
If payment is not received by the due date the Seller is at liberty to repossess the Goods and sell or dispose of them in such manner as it may deem fit.
Third Party Liability
The Seller shall not be liable in respect of damage or loss to third parties caused directly or indirectly by the goods in any way whatsoever and the Buyer shall all times indemnify the Seller against such loss or damage.
Force Majeure
The performance of this contract is subject to variation or cancellation by the Seller owing to any act of God, war, strikes, lockouts or any other industrial action, fire, flood, drought, tempest, insect or fungicidal attack or any other cause beyond the control of the Seller or owing to any inability by the Seller to procure materials or articles required for the performance of the Contracts and the Seller shall not be held responsible for any inability to deliver the goods caused by such contingencies or state of affairs for the time being in force.
Arbitration
Any dispute under the Contract shall be referred to an arbitrator or Arbitrators to be appointed by the parties or in default of agreement by President of the Law Society for the time being and his/her or their decision shall be binding on both parties, and this shall be a submission to arbitration with the Administration Act 1950, or any statutory modification for the time being in force.
Applicable Law
The contract shall be governed by the Laws of England and Wales.
Liability
The Seller shall be under no liability for consequential loss in respect of the supply of the Goods.
